2025 Lubricants dealer marketing program agreement form

Select programs your dealer location will be participating in for FY25. Referred to as “the Programs” in following agreement copy:

By checking the box below, the above named Dealer agrees that it has read and fully understands the description of each Program selected above, as set forth in the CHS Inc. (“Cenex”) 2025 Lubricants Dealer Marketing Programs Guide (the “Program Guide”), together with all terms and conditions, processes and guidelines set forth therein (collectively, the “Terms”). Dealer further acknowledges and agrees that it will fully comply with all of such Terms. Provided that Dealer has fully complied with all Terms for the Program(s) selected above, and on or before the date it is due, a signed and fully completed credit submission form in the format identified for such Program(s) in the Program Guide (the “Credit Request(s)”) and Cenex has approved the Credit Request(s), Cenex will pay to the Dealer a credit determined in the manner set forth in the Terms for the Program(s) to which such Credit Request(s) relate. By delivering to Cenex a Credit Request, Dealer represents and warrants that such Credit Request contains a true, accurate and fully complete representation of all information set forth therein and of all transactions described thereon and contains all information required to be submitted on such Credit Request under the Program. Failure to deliver a fully completed and accurate Credit Request on or before September 30 2025, may result in rejection of such Credit Request.

Dealer agrees to keep full, complete and accurate records and documentation (including, without limitation, sales receipts, invoices and computer sales reports) for each sale and purchase of products during the applicable Program term. Dealer shall provide to Cenex, at any time requested by Cenex during the Program term and continuing until the date occurring twelve (12) months after Dealer submits its final Credit Request under any Program (the “Audit Term”), such supporting documentation as Cenex may deem appropriate to demonstrate compliance with applicable Program Terms (a “Document Request”). In addition, Cenex may, in its sole discretion, elect to conduct an audit of Dealer’s records and documentation at any time during the Audit Term and Dealer shall provide Cenex access to all such records and documentation, during regular business hours, promptly following delivery by Cenex to Dealer of a notice of such audit. In the event the Dealer is unable, or fails to deliver to Cenex within thirty (30) days after a document request is made, such records and documentation as Cenex may, in its reasonable discretion, deem sufficient to support compliance with the applicable Program Terms, Cenex may, in its discretion, demand repayment of any credit paid under the Program, and Dealer agrees to remit such credit to Cenex, in cash, by offset, or any other means selected by Cenex in its sole discretion.

Please note: Supporting documentation must contain Cenex Product name and quantities sold.

CENEX RESERVES THE RIGHT TO MODIFY OR DISCONTINUE THE PROGRAM AT ANY TIME
